Tilt Rips - Car Prize Terms and Conditions

These Terms and Conditions (“Car Prize Terms”) govern the availability, awarding, redemption and delivery of vehicles offered as prizes in eligible Tilt Rips packs (the “Promotion”).

By purchasing or opening an eligible pack, participants agree to these Car Prize Terms and the Tilt Rips General Terms and Conditions. In the event of any conflict relating specifically to a Car Prize, these Car Prize Terms shall prevail.

1. Eligibility and Participation

1.1. Participation is open only to individuals who are at least 18 years old, or the age of majority in their jurisdiction, whichever is higher, and who are otherwise eligible to use Tilt Rips.

1.2. Participants must comply with all applicable laws and the Tilt Rips General Terms and Conditions, including any applicable identity verification requirements.

1.3. Each eligible pack contains collectible cards or other disclosed items. Participants will always receive the contents associated with their purchased pack, regardless of whether they receive a Car Prize.

1.4. Certain eligible packs may additionally contain a vehicle as a Grand Prize or other designated prize (each a “Car Prize”). The number and type of Car Prizes available may vary between pack launches and will be displayed on the applicable pack page.

2. Car Prizes and Valuation

2.1. The vehicles available as Car Prizes, including their make, model, specifications and estimated value, will be identified on the applicable pack page.

2.2. Car Prizes may be supplied through consignment arrangements with third-party vehicle owners, dealers or suppliers.

2.3. The estimated value of each Car Prize will be determined by Tilt Rips in good faith using a combination of available market information, including manufacturer's suggested retail prices (MSRP), comparable vehicle listings, private sales and other relevant valuation sources.

2.4. The estimated value displayed on the platform is determined by Tilt Rips for promotional and prize valuation purposes and may differ from the vehicle's actual resale value, market price or value at the time of delivery.

2.5. Vehicle images are for illustrative purposes. The actual vehicle's specifications, condition, mileage and other relevant details will be disclosed or made available to the winner before delivery arrangements are finalized.

3. Car Prize Redemption Options

3.1. Winners of Car Prizes with a determined value exceeding USD $200,000 may choose between the following redemption options:

Option A – Physical Vehicle Delivery

• The winner may elect to claim the actual vehicle awarded.
• Tilt Rips will coordinate with the relevant vehicle owner or supplier to arrange the transfer and delivery of the vehicle.
• Delivery arrangements, timing and associated costs will be communicated to the winner before completion of the claim.
• The winner will be responsible for applicable taxes, duties, registration, licensing, insurance and other costs as provided in Section 5.

Option B – Site Credit Paid Over Six Months

• Instead of receiving the physical vehicle, the winner may elect to receive Tilt Rips site credit equal to 100% of the Car Prize's determined value.
• The site credit will be distributed in six (6) equal monthly installments.
• The first installment will be credited within thirty (30) days following verification of the winner and confirmation of the selected redemption option.
• The remaining five installments will be credited monthly thereafter.
• Site credit will be subject to the Tilt Rips General Terms and Conditions and any applicable withdrawal, redemption and verification requirements.
• The winner will not be entitled to receive the physical vehicle after electing the site credit option.

3.2. The winner must communicate their selected redemption option within thirty (30) days of receiving the prize notification, unless Tilt Rips agrees to an extension.

3.3. Once the selected redemption option has been confirmed and processing has commenced, the election will be final and cannot be changed without Tilt Rips' written consent.

3.4. For Car Prizes valued at USD $200,000 or less, the applicable redemption arrangements will be specified on the relevant pack page. The six-month site credit option will not automatically apply.

4. Prize Verification and Fulfillment

4.1. All Car Prizes are subject to verification of the winner's identity, eligibility and compliance with the applicable Terms and Conditions.

4.2. Tilt Rips may require winners to provide reasonable documentation necessary to verify their identity, confirm their eligibility, satisfy applicable legal requirements and facilitate vehicle transfer or site credit redemption.

4.3. Physical vehicle fulfillment is subject to the completion of any necessary ownership transfer documentation and coordination with the relevant third-party supplier or consignor.

4.4. Tilt Rips will use commercially reasonable efforts to arrange delivery as promptly as practicable following successful verification and completion of the applicable documentation.

4.5. If the originally advertised vehicle becomes unavailable due to circumstances outside Tilt Rips' reasonable control, Tilt Rips may offer a reasonably comparable replacement vehicle or an alternative prize of equivalent determined value, subject to applicable law and the winner's agreement where required.

5. Taxes, Duties and Additional Costs

5.1. Winners are solely responsible for all taxes and governmental charges arising from the receipt, ownership, transfer or redemption of a Car Prize, to the extent permitted by applicable law.

5.2. Such amounts may include, without limitation:

• Sales tax, use tax or value-added tax (VAT);
• Prize or income taxes;
• Import duties and customs charges;
• Vehicle registration, title and licensing fees;
• Insurance costs; and
• Other applicable governmental fees or charges.

5.3. The tax treatment of a Car Prize may depend on the winner's jurisdiction, the location of the vehicle, the applicable ownership transfer arrangements and the selected redemption option.

5.4. Before completing a vehicle transfer or site credit redemption, Tilt Rips may require the winner to provide relevant tax information, complete necessary documentation or satisfy applicable tax obligations.

5.5. Tilt Rips may withhold or report amounts where required by applicable law. Nothing in these Car Prize Terms excludes any statutory tax obligation imposed on Tilt Rips.

5.6. Winners are encouraged to seek independent tax advice regarding the consequences of receiving a Car Prize or electing the site credit option.

6. Vehicle Condition and Third-Party Suppliers

6.1. Car Prizes may be owned or supplied by third parties under consignment arrangements.

6.2. Unless expressly stated otherwise, vehicles may be new or pre-owned, as described on the relevant pack page.

6.3. Any applicable manufacturer's warranty or transferable third-party warranty will be communicated to the winner where available.

6.4. Tilt Rips does not provide any additional vehicle warranty beyond those expressly stated or required by applicable law.

6.5. The winner is responsible for ensuring that the vehicle can be legally imported, registered and operated in their jurisdiction.

7. Site Credit Conditions

7.1. Site credit awarded in place of a Car Prize will be credited to the winner's Tilt Rips account according to the installment schedule described in Section 3.

7.2. The total amount of site credit awarded will equal the determined value of the relevant Car Prize, subject to any legally required deductions or withholding.

7.3. Site credit may be used or redeemed in accordance with the Tilt Rips General Terms and Conditions and any applicable restrictions expressly disclosed before the winner selects this option.

7.4. Site credit will not be subject to additional purchase requirements unless expressly disclosed before the winner elects the site credit option and permitted by applicable law.

7.5. Tilt Rips will not cancel unpaid installments solely because a winner chooses not to make further purchases or use the platform, provided the winner remains legally eligible to receive the installments.

8. General Conditions

8.1. Tilt Rips reserves the right to investigate suspected fraud, manipulation, abuse or violations of these Car Prize Terms or the General Terms and Conditions.

8.2. Tilt Rips may suspend prize fulfillment while conducting a reasonable investigation or completing mandatory compliance checks.

8.3. Tilt Rips may amend these Car Prize Terms for future pack launches, provided that any amendment will not materially reduce the rights of a winner whose prize has already been awarded, except where required by applicable law.

8.4. Tilt Rips shall not be liable for delays caused by customs authorities, vehicle registration agencies, third-party transport providers or other circumstances outside its reasonable control, except to the extent liability cannot legally be excluded.

8.5. Any matters not expressly addressed in these Car Prize Terms will be governed by the Tilt Rips General Terms and Conditions and applicable law.
